Terms and Conditions of Sale

1. General

1.1 These Terms and Conditions apply to all quotations, orders, and contracts for the supply of goods and services by Loop Pod (the "Seller") to the customer (the "Buyer").

1.2 By placing an order or requesting a brochure, the Buyer agrees to be bound by these Terms.

2. Intellectual Property & Design Protection

2.1 Protected Designs: The Buyer acknowledges that Loop Pod, Breeze Pod, and Shelter Pod (including their shapes, configurations, and aesthetic features) are original artistic works and protected designs owned exclusively by the Seller.

2.2 Copyright Notice: These products are protected under the Copyright Act 1968 (Cth) and the Designs Act 2003(Cth). Any unauthorised reproduction, copying, imitation, or manufacture of these designs—including the use of drawings, renders, or specifications provided by the Seller—is a breach of Australian law.

2.3 Enforcement: Any breach of copyright or design rights will be dealt with strictly under the provisions of Australian Intellectual Property laws. This includes seeking injunctions, account of profits, and damages.

3. Quotations and Orders

3.1 Quotations are valid for 30 days unless otherwise stated.

3.2 An order is only accepted when the Seller issues a written order acknowledgement and/or a deposit is received.

3.3 Batch Production: To maintain cost-efficiency, orders are processed in scheduled production runs. While standard orders start from five (5) units, smaller quantities may be accommodated within these scheduled runs at the Seller's discretion.

4. Payment Terms

4.1 A deposit of [e.g., 50%] is required to initiate production.

4.2 Final payment is due prior to dispatch or as otherwise agreed in writing.

4.3 All prices are in AUD and are exclusive of GST unless stated otherwise.

5. Delivery and Installation

5.1 Any delivery or installation dates provided are estimates only. The Seller is not liable for delays caused by third-party freight or site access issues.

5.2 The Buyer is responsible for ensuring the site is ready for installation, including clear access and suitable surface types.

5.3 The Seller provides specification support for documentation, but final site compliance remains the responsibility of the Buyer.

6. Australian Consumer Law (ACL)

6.1 Our goods come with guarantees that cannot be excluded under the Australian Consumer Law.

6.2 For commercial/B2B transactions exceeding $100,000, our liability is limited to the replacement or repair of the goods, or the cost of having the goods repaired or replaced.

7. Limitation of Liability

7.1 To the extent permitted by law, the Seller is not liable for any indirect or consequential loss, including loss of profit or revenue, arising from the supply or use of the goods.

8. Data and Privacy

8.1 Use of the Buyer's personal information is governed by our Privacy Policy, which complies with the Privacy Act 1988 (Cth).

8.2 The Buyer consents to their data being stored on secure servers which may be located outside of Australia.

9. Governing Law

9.1 These Terms are governed by the laws of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of that State.
