Terms and Conditions

 

1. General

1.1 These Terms and Conditions apply to all quotations, orders, and contracts for the supply of goods and services by Loop Pod™ (the "Seller") to the customer (the "Buyer").

1.2 By placing an order, paying a deposit, or requesting technical documentation, the Buyer agrees to be bound by these Terms.

2. Intellectual Property & Design Protection

2.1 Trademark Notice: The Buyer acknowledges that Loop Pod™, Breeze Pod™, and Shelter Pod™ are trademarks of the Seller. The Seller has a pending trademark application for Loop Pod™ in Australia.

2.2 Protected Designs: The Buyer acknowledges that the products (including their shapes, configurations, and aesthetic features) are original artistic works and protected designs owned exclusively by the Seller.

2.3 Copyright Notice: These products are protected under the Copyright Act 1968 (Cth) and the Designs Act 2003 (Cth). Any unauthorised reproduction, imitation, or manufacture—including the use of drawings, CAD blocks, or specifications provided by the Seller—is a breach of Australian law and will be strictly enforced.

3. Quotations and Orders

3.1 Quotations are valid for 30 days unless otherwise stated in writing.

3.2 An order is only accepted when the Seller issues a written order acknowledgement and/or a production deposit is received.

3.3 Batch Production: To maintain infrastructure-grade quality, orders are processed in scheduled production runs. Standard orders typically start from five (5) units; smaller quantities are accommodated at the Seller's discretion.

4. Payment Terms

  • 4.1 Order Sequence: To initiate a project, the following sequence must be completed:

    1. Purchase Order (PO): Submission of an official Purchase Order by the Buyer.

    2. Production Deposit: Payment of a 50% deposit based on the issued PO.

    3. Production Commencement: Manufacturing is scheduled upon receipt of both the PO and the Deposit.

  • 4.2 Final Payment (Government & Education): The remaining 50% balance is payable within 30 days from the date of delivery (In Receipt of Goods), in alignment with standard government procurement and accounts payable cycles.

  • 4.3 Final Payment (Private/Commercial): For non-government entities, the final balance is due prior to dispatch unless a prior credit arrangement has been established in writing.

  • 4.4 Batch Commitment: As Loop Pods™ are manufactured in scheduled batch runs, the deposit is non-refundable once the production cycle has commenced.

  • 4.5 Currency & Taxes:All prices are in AUD and exclusive of GST.

5. Delivery and Installation

  • 5.1 Delivery or installation dates are estimates only. The Seller is not liable for delays caused by third-party freight or site access issues.

  • 5.2 The Buyer is responsible for site readiness, including clear access and suitable surface types for concealed subfloor anchoring.

  • 5.3 The Seller provides specification support, but final site compliance and local permit requirements remain the responsibility of the Buyer.

6. Australian Consumer Law (ACL)

  • 6.1 Our goods come with guarantees that cannot be excluded under the Australian Consumer Law.

  • 6.2 For commercial (B2B) transactions, our liability is limited to the replacement or repair of the goods, or the cost of having the goods repaired or replaced.

7. Limitation of Liability

  • 7.1 To the extent permitted by law, the Seller is not liable for any indirect or consequential loss, including loss of profit or revenue, arising from the supply or use of the infrastructure.

8. Data and Privacy

  • 8.1 Use of the Buyer's personal information is governed by our Privacy Policy, which complies with the Privacy Act 1988 (Cth).

  • 8.2 The Buyer consents to their data being stored on secure servers, which may be located outside of Australia.

9. Governing Law

  • 9.1 These Terms are governed by the laws of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of that State.
